XYZ System Monitor
IMPORTANT LEGAL NOTICE
This is a binding legal agreement. By installing, accessing, or using the XYZ System Monitor (including any sensors or software components), you agree to all terms below. Please read carefully before proceeding.
This End-User License Agreement (“EULA” or “Agreement”) is a legally binding agreement between you (the “User”, “you”, or “System Owner”, either an individual or a single legal entity) and [Company Name], a company registered in South Africa (“Company”, “we”, “us”, or “our”).
BY INSTALLING, ACCESSING, USING, OR PAYING FOR THE SYSTEM (including any sensors, software updates, or services), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS EULA. If you do not agree, do not install, access, or use the System and immediately return any hardware and cease all use.
“System” means the XYZ System Monitor platform, including software (web, desktop, mobile), firmware, sensors, configuration tools, dashboards, alerts, data sharing features, and any updates or components.
“Sensors” means hardware devices manufactured and supplied by the Company for monitoring network, database, and website response times, environmental data, or other metrics.
“Data” means any information collected by the System, including but not limited to response times, sensor readings, logs, alerts, and user-configured thresholds.
“System ID” and “Monitor ID” mean the unique identifiers assigned to your System and individual Monitors.
“Third-Party Services” means any services, networks, APIs, cellular providers (e.g., MTN, Vodacom), cloud hosting, or other external dependencies not controlled by the Company.
Subject to your compliance with this EULA, payment of all applicable fees, and ongoing adherence to terms, the Company grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to install, access, and use the System solely for your internal business or personal monitoring purposes during the applicable subscription or license term.
This license includes the right to use the configuration tool for Sensors and to receive alerts based on user-defined thresholds. The license does not include ownership of the System or any intellectual property rights therein.
Sensors are shipped within approximately 20 days of payment confirmation, subject to stock and logistics. Delivery times are estimates only.
You agree not to, and will not permit others to:
The System collects monitoring Data to provide functionality, including alerts for exceeded thresholds. You consent to this collection and transmission as necessary for the System’s operation.
Data may be shared between compatible Systems using valid System and Monitor IDs at your direction. You are responsible for the security and appropriateness of any shared Data.
The Company may collect anonymized technical data to improve the System. See our separate Privacy Policy for details (incorporated herein by reference). The Company does not guarantee absolute security or privacy of Data.
The System and all related intellectual property rights are owned by the Company or its licensors. This EULA grants no ownership rights. You retain rights to your own Data but grant the Company a limited license to use it as necessary to provide the System.
The System relies on Third-Party Services. The Company makes no representations or warranties regarding their availability, performance, or security. You bear all risks associated with Third-Party Services. Any terms of those providers apply in addition to this EULA.
THE SYSTEM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED OPERATION.
The Company does not warrant that the System will meet your requirements, operate without errors, detect all issues, or prevent all downtime or breaches. Alerts and monitoring are not guaranteed; thresholds and responses are your responsibility. Sensors and hardware are subject to manufacturing tolerances and environmental factors.
No oral or written advice from the Company creates any warranty.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
including but not limited to loss of profits, data, business, goodwill, monitoring failures, sensor failures, downtime, security breaches, or third-party claims, even if advised of the possibility.
This limitation applies regardless of the legal theory and even if a remedy fails its essential purpose. Some jurisdictions may not allow these limitations.
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
This EULA is effective until terminated. The Company may terminate or suspend your license immediately for any breach or if required by law. Upon termination, you must cease all use, destroy copies, and return or dispose of Sensors as instructed. Sections that by their nature survive (e.g., IP, disclaimers, liability, indemnification) will continue.
Subscriptions or licenses may auto-renew unless cancelled per applicable terms. Fees are non-refundable except as required by law.
The Company may update the System or this EULA. Continued use after updates constitutes acceptance. Material changes will be notified where feasible.
This EULA is governed by the laws of the Republic of South Africa, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Gauteng, South Africa. You waive any objections to venue or jurisdiction.
By using the XYZ System Monitor, you acknowledge the risks, accept full responsibility for your use, and agree that this EULA limits the Company’s liability to the maximum extent permitted by law.
